Business Terms and Conditions
Last updated: 27 October 2026
1. Definitions and scope
1.1 PadelTempo is the trade name under which padel products are sold, established in Roermond, the Netherlands, registered with the Chamber of Commerce under number 42185467 (VAT number NL005564539B31). Contact details are in article 16.
1.2 Business customer: any legal entity, and any natural person acting in the course of a profession or business, that buys products from PadelTempo or asks for an offer, such as padel clubs, padel schools, trainers, shops and companies. A consumer (a natural person not acting in the course of a profession or business) is not a business customer.
1.3 These terms apply to all offers, quotes, orders, agreements and deliveries by PadelTempo to business customers. Consumers are covered by the webshop Terms and Conditions.
1.4 An order that a business customer places through the regular webshop stays under the webshop Terms and Conditions, unless PadelTempo expressly refers to these terms when the order is placed or in the quote or order confirmation.
1.5 Purchasing or other terms of the business customer do not apply, even if the customer refers to them, unless PadelTempo has expressly accepted them in writing beforehand.
1.6 If there is a conflict, a written quote or order confirmation from PadelTempo prevails over these terms, and these terms prevail over the webshop Terms and Conditions.
1.7 PadelTempo makes these terms available electronically before or when the agreement is concluded, through a link in the quote or order confirmation and on the Business orders page. On request we send them free of charge.
1.8 If any provision of these terms is void or annulled, the other provisions remain in force. The parties then replace it with a valid provision that comes as close as possible to the purpose of the original one.
2. Offer and conclusion of the agreement
2.1 A request through the form on the Business orders page creates no obligation to buy. A quote from PadelTempo is non-binding and valid for fourteen days, unless the quote says otherwise.
2.2 The agreement is concluded when the business customer accepts the quote in writing (e-mail included) and PadelTempo confirms this, or when PadelTempo starts performing.
2.3 Product information, images, sizes, colours and specifications come from the manufacturers and are indicative. Small deviations are not a defect. Obvious mistakes and errors do not bind PadelTempo.
2.4 PadelTempo may verify the business details of the customer, including in the trade register and in the VAT information exchange system VIES, and may make the agreement dependent on prepayment or security.
2.5 The business customer guarantees that the details given are correct and complete and passes on changes without delay.
3. Prices and VAT
3.1 Prices are in euros. In quotes, order confirmations and invoices to business customers, prices are stated excluding VAT unless expressly stated otherwise. Shipping costs, other levies and special costs are stated separately.
3.2 For delivery within the Netherlands PadelTempo charges VAT at the applicable rate (21% in 2026).
3.3 For delivery to a business customer in another EU country PadelTempo may apply 0% VAT (intra-Community supply, reverse charge) if the customer gives a valid VAT number confirmed in VIES before delivery and the goods are demonstrably transported to that other EU country. PadelTempo shows the customer’s VAT number on the invoice and includes the supply in its intra-Community supplies report.
3.4 If the VAT number turns out to be invalid (or no longer valid) or proof of transport is not provided, PadelTempo may still charge the VAT, together with the interest, fines and costs it incurs as a result.
3.5 For delivery outside the EU PadelTempo charges no Dutch VAT if the export is demonstrable. Import duties, import VAT and other levies in the country of destination are for the business customer’s account.
3.6 If cost factors outside PadelTempo’s influence (such as manufacturers’ purchase prices, exchange rates, transport costs or levies) rise after the agreement is concluded and delivery takes place more than three months after the agreement, PadelTempo may adjust the price proportionally. The customer may then cancel free of charge within five working days of the notice, except for products already ordered for the customer.
4. Payment
4.1 Payment is due within fourteen days of the invoice date, unless another term has been agreed in writing. An agreed term is never longer than thirty days, unless PadelTempo expressly confirms otherwise in writing.
4.2 PadelTempo may require payment in advance (in whole or in part), for example for a first order, for products ordered especially for the customer, for printed or customised products and in case of arrears.
4.3 Payment is made in euros, without discount, set-off or suspension, unless PadelTempo has acknowledged the customer’s claim or it is irrevocably established.
4.4 Objections to an invoice must be reported in writing within eight days of the invoice date. After that period the invoice is deemed accepted.
4.5 If the business customer does not pay within the term, the customer is in default by operation of law, without a notice of default being needed. PadelTempo may then charge the statutory commercial interest (article 6:119a of the Dutch Civil Code) on the outstanding amount, from the due date until the day of full payment.
4.6 All reasonable costs of collection, judicial and extrajudicial (article 6:96 of the Dutch Civil Code), are for the customer’s account. The extrajudicial collection costs are 15% of the outstanding amount, with a minimum of € 40, without prejudice to PadelTempo’s right to claim higher reasonable costs.
4.7 Payments are applied first to costs, then to interest and then to the oldest outstanding invoice, even if the customer designates otherwise (article 6:44 of the Dutch Civil Code).
4.8 In case of late payment PadelTempo may suspend its obligations, dissolve the agreement and make all claims on the customer immediately due, without owing any compensation.
5. Delivery and risk
5.1 Delivery is made to the address given by the business customer. Stated delivery times are indicative and never strict deadlines, unless the parties have expressly laid down a delivery date in writing as a strict deadline.
5.2 If a delivery time is exceeded, the customer must first give PadelTempo written notice of default and a reasonable period of at least fourteen days to deliver after all (article 6:82 of the Dutch Civil Code). Exceeding a delivery time gives no right to compensation or dissolution, except where mandatory law provides otherwise.
5.3 PadelTempo may deliver in parts and invoice each partial delivery separately.
5.4 The risk of damage or loss passes to the business customer on delivery to the customer or to a third party designated by the customer. If the customer arranges transport, the risk passes when the goods are handed over to the carrier.
5.5 If the customer does not accept the goods at the agreed time, the costs of storage and redelivery are for the customer’s account.
6. Retention of title
6.1 All delivered goods remain the property of PadelTempo until the business customer has paid in full all amounts owed under the agreement, including interest and costs (article 3:92 of the Dutch Civil Code).
6.2 As long as ownership has not passed, the customer may not pledge or otherwise encumber the goods. Selling them in the ordinary course of business is allowed.
6.3 The customer informs PadelTempo immediately if third parties seize the goods or assert rights over them, and keeps the goods carefully and identifiable as PadelTempo’s property.
6.4 If the customer does not pay, PadelTempo may take the goods back and, for that purpose, enter the places where the goods are located. The customer already gives permission for this.
7. Inspection and complaints
7.1 The business customer must inspect the goods immediately on delivery for quantity, type, condition, visible defects and transport damage (article 6:89 of the Dutch Civil Code).
7.2 The customer reports visible defects, deviations in quantity or type and transport damage to PadelTempo in writing within eight days of delivery at the latest, with photos and the order number. Transport damage is also reported to the carrier straight away.
7.3 Defects that were not immediately visible are reported within eight days of discovery, or of when the customer reasonably could have discovered them, and in any case within twelve months of delivery.
7.4 A complaint made in time does not suspend the obligation to pay. Goods returned in connection with a complaint are only accepted after PadelTempo’s written permission.
8. Warranty and returns
8.1 PadelTempo guarantees that the delivered goods conform to the agreement and to what the customer may reasonably expect (article 7:17 of the Dutch Civil Code). A manufacturer’s warranty, if any, comes on top of this right.
8.2 If goods do not conform, PadelTempo decides whether to repair or replace them or to credit the purchase price. Further claims are excluded, unless mandatory law provides otherwise.
8.3 There is no right to warranty for normal wear, incorrect use or maintenance, damage from a fall or collision, own modifications or repairs, and use that deviates from the instructions. With intensive use, such as rental or training rackets, the lifespan may be shorter. That is not a defect.
8.4 A business customer has no statutory right of withdrawal. Returns are only possible with PadelTempo’s prior written permission, for unused products in their original packaging, and may lead to a credit note less reasonable costs. Products ordered especially for the customer, printed or customised, and hygiene products such as overgrips cannot be returned, except in case of a defect.
9. Liability
9.1 PadelTempo’s total liability for a failure to perform the agreement, a tort or otherwise is limited to direct damage and to at most the invoice amount (excluding VAT) of the order to which the liability relates or, if higher, the amount PadelTempo’s insurer pays out in that case.
9.2 PadelTempo is not liable for indirect or consequential damage, such as lost profit, lost revenue, business interruption, loss of goodwill or reputational damage.
9.3 These limitations do not apply in case of intent or deliberate recklessness of PadelTempo or its management, and not where mandatory law provides otherwise.
9.4 Any claim against PadelTempo lapses unless the customer has brought it before a court within twelve months of the damage or defect becoming known.
9.5 The business customer indemnifies PadelTempo against claims of third parties relating to products that the customer has modified, used incorrectly or resold in breach of the agreement, to the extent PadelTempo would not be liable for them towards the customer.
10. Force majeure
10.1 PadelTempo does not have to perform if it is prevented by force majeure. Force majeure includes shortages or delays at manufacturers, suppliers or carriers, transport disruptions, failures of IT or payment systems, cyber attacks, illness, strikes, fire, extreme weather, pandemics and government measures.
10.2 PadelTempo may then suspend performance. If the force majeure lasts longer than three months, either party may dissolve the agreement in writing for the part not yet performed, without compensation.
11. Intellectual property and use of the PadelTempo name
11.1 Trademarks, logos, product images, texts and other materials of PadelTempo, of manufacturers and of other third parties remain the property of the rights holders. The business customer may not use or distribute them without prior written permission, except to resell or use the products bought as intended.
11.2 The customer may only present itself as a partner or supplier of PadelTempo, or use the name and logo of PadelTempo, with prior written permission.
12. Cooperation as a Club Partner
12.1 Arrangements made as part of a cooperation, such as a discount code for members, a sponsorship contribution or actions around tournaments, are laid down separately in writing by PadelTempo. They are not part of these terms, unless expressly referred to.
12.2 Members of a club who order in the webshop with a discount code are consumers. Their orders are covered by the webshop Terms and Conditions and their statutory consumer rights, whatever the club has agreed with PadelTempo.
13. Personal data
13.1 PadelTempo processes business, contact and invoicing details of the business customer and its contact persons, including chamber of commerce and VAT numbers, to issue quotes, perform orders, invoice, keep its administration and comply with legal obligations, such as the seven-year tax record-keeping obligation. More information is in PadelTempo’s privacy policy.
13.2 The business customer makes sure the contact persons whose details it passes on have been informed about this.
14. Governing law and disputes
14.1 All offers, agreements and deliveries are governed exclusively by Dutch law. The Vienna Sales Convention (CISG) is excluded.
14.2 Disputes are submitted to the competent court of the Limburg District Court, unless mandatory law designates another court. PadelTempo may also choose the court that is competent on the basis of the business customer’s place of establishment.
15. Changes
15.1 PadelTempo may change these terms. An agreement is governed by the version of these terms that applied when the agreement was concluded. The current version is on the website.
